MHM UK LTD – Terms and Conditions of Machinery Sales and Service Plans

1. DEFINITIONS
"Company" refers to MHM UK LTD. "Customer" refers to the person, firm, company, or other entity purchasing machinery or subscribing to service plans. "Machinery" refers to recycling equipment sold by the Company. "Service Plan" refers to any maintenance, repair, or breakdown cover agreement offered by the Company.

2. GENERAL
2.1 These Terms and Conditions apply to all sales of machinery and associated service plans by the Company.
2.2 Any order placed with the Company shall constitute the Customer's acceptance of these terms.

3. QUOTATIONS AND ORDERS
3.1 All quotations are valid for 30 days from the date of issue unless otherwise stated.
3.2 Orders are only accepted once confirmed in writing by the Company.

4. PRICES AND PAYMENT
4.1 All prices are exclusive of VAT unless otherwise stated.
4.2 For new and refurbished machinery, a 40% non-refundable deposit is required upfront. The remaining 60% balance is due two weeks prior to the scheduled delivery and installation date.
4.3 Delivery and installation charges will be invoiced separately on a 30-day credit account (subject to approval). If no credit account is in place, a proforma payment is required one week prior to delivery and installation.
4.4 The Company reserves the right to charge interest at 8% above the Bank of England base rate on overdue payments.

5. DELIVERY AND INSTALLATION
5.1 Delivery times are estimates and not guaranteed.
5.2 The Company is not liable for delays caused by events outside its control.
5.3 The Customer must ensure suitable access for delivery and installation.

6. TITLE AND RISK
6.1 Risk passes to the Customer upon delivery.
6.2 Title to the Machinery remains with the Company until payment is received in full.

7. WARRANTY AND DEFECTS
7.1 All new machinery is covered by a 12-month or 500 motor hours (whichever occurs first) parts and labour warranty, unless otherwise stated in writing.
7.2 Refurbished machinery is covered by a 6-month parts and labour warranty from delivery, unless extended in writing.
7.3 Warranty excludes wear and tear, misuse, or unauthorised modifications.

8. SERVICE PLANS
8.1 Service Plans include preventive maintenance, breakdown response, and routine inspections as detailed in the Customer’s chosen package.
8.2 All minor adjustments identified during the service will be carried out at no additional cost. Any major repairs or replacements identified by the engineer will be reported to the Customer and quoted separately if required.
8.3 Hydraulic oil and filter changes are not included in standard packages but can be quoted separately upon request.
8.4 Technical support will be provided by telephone when necessary.
8.5 Services will be carried out by fully trained MHM UK LTD engineers during normal working hours unless otherwise agreed.
8.6 Both parties must keep each other advised of any special requirements relevant to the services.
8.7 The Customer must ensure machinery is used in accordance with training and manuals to remain eligible for cover.

9. CANCELLATION AND TERMINATION
9.1 Orders for machinery may not be cancelled once production or dispatch has commenced.
9.2 Service plans may be cancelled by either party with 30 days’ written notice.
9.3 Breach of terms may result in termination of service without refund.

10. LIABILITY
10.1 The Company is not liable for indirect or consequential losses.
10.2 Liability is limited to the value of the contract or one year of service plan fees, whichever is lower.

11. FORCE MAJEURE
11.1 The Company shall not be liable for failure to perform its obligations due to events beyond its reasonable control.

12. GOVERNING LAW
12.1 These Terms and Conditions are governed by the laws of England and Wales.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts.
