Terms & Conditions

MHM UK LTD – Standard Terms and Conditions of Supply

1. Definitions
  • Company: MHM UK LTD.

  • Customer: Any person, firm, company, or other entity placing an order with the Company.

  • Goods: Any machinery, equipment, parts, or materials supplied by the Company.

  • Services: Any service, maintenance, repair, or support offered by the Company, including Service Plans and software subscriptions.

  • MHM Cloud: The Company’s software platform providing remote monitoring and performance data for machinery.

2. General

2.1 These Terms and Conditions apply to all orders for goods and services supplied by the Company.
2.2 By placing an order, the Customer accepts these Terms and Conditions in full.

3. Quotations and Orders

3.1 All quotations are valid for 30 days from the date of issue unless otherwise stated.
3.2 Orders are only accepted once confirmed in writing by the Company.

4. Prices and Payment

4.1 All prices are exclusive of VAT unless otherwise stated.

4.2 Deposit and Balance for Machinery Orders

  • For new or refurbished machinery, the Customer must pay a 40% non-refundable deposit of the machine-only price at the time of order.

  • The remaining 60% of the machine-only price is due two weeks prior to installation.

4.3 Delivery and Installation Charges

  • Delivery and installation costs are invoiced separately.

  • Approved credit account holders may pay these charges on 30-day account terms.

  • Customers without a credit account must pay proforma invoices for delivery and installation one week prior to the scheduled date.

4.4 Credit Account

  • Customers may apply for a credit account, which is subject to Company approval.

  • Invoices issued to credit account holders are payable within 30 days unless otherwise agreed.

4.5 Late Payment

  • Any overdue amounts—including machinery, delivery, installation, service, or subscription fees—will incur interest at 8% per week, calculated from the due date until full payment is received.

5. Delivery, Installation, and Performance

5.1 Delivery times or service schedules are estimates only.
5.2 The Company is not liable for delays caused by events beyond its reasonable control.
5.3 The Customer must ensure suitable access and conditions for delivery, installation, or service performance.

6. Title and Risk

6.1 Risk in goods passes to the Customer upon delivery or collection.
6.2 Title remains with the Company until full payment for the goods and/or services has been received.

7. Warranty and Defects

7.1 All new goods are covered by warranties as stated in the quotation or specification.
7.2 Refurbished goods carry warranties as agreed in writing.
7.3 Warranty does not cover wear and tear, misuse, or unauthorised modifications.
7.4 Services, including maintenance or software support, are provided as specified in the service agreement.

8. Service Plans and Software Subscriptions

8.1 Service Plans include preventive maintenance, breakdown response, and inspections as specified.
8.2 Minor adjustments are included; major repairs will be quoted separately.
8.3 Software subscriptions, including MHM Cloud, are provided for the period stated at the time of order.
8.4 Subscriptions automatically renew unless cancelled in writing at least 30 days prior to renewal.
8.5 Failure to pay subscription fees may result in suspension or termination of service.
8.6 The Company reserves the right to update, modify, or improve software or services at its discretion.

9. Cancellation and Termination

9.1 Orders cannot be cancelled once production, procurement, or service preparation has commenced.
9.2 Service plans or subscriptions may be cancelled with 30 days’ written notice unless otherwise stated.
9.3 Breach of these Terms may result in termination without refund.

10. Liability

10.1 The Company is not liable for indirect or consequential losses.
10.2 Liability is limited to the value of the contract or one year of service/subscription fees, whichever is lower.

11. Force Majeure

11.1 The Company is not liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, strikes, or supply chain disruptions.

12. Governing Law

12.1 These Terms are governed by the laws of England and Wales.
12.2 Any disputes fall under the exclusive jurisdiction of the English courts.
